1. Acceptance of Terms

By accessing or using Wheeko's Service ("Terms"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service. If you are accepting these Terms on behalf of a business or company, you confirm that you have the authority to bind that entity to these Terms.

2. Service Description

Wheeko is a multi-tenant WhatsApp Business CRM platform that helps businesses manage customer conversations. The Service includes, but is not limited to:

  • Unified WhatsApp Inbox — messaging, media/voice attachments, AI-powered and manual replies
  • AI Agent — automated conversation handling, customizable instructions, human handoff
  • Contact Management — lead tracking, tagging, and filtering
  • Sales Pipeline (CRM Board) — customizable stages, deal/lead tracking
  • Calling — internet-based and SIM-based (Twilio) inbound/outbound calling, call logs
  • Campaigns & Templates — Meta-approved WhatsApp template messaging and bulk broadcast
  • Team & Multi-Agent Tools — role-based access, chat assignment, audit logs
  • Subscription-based billing — tiered plans (Starter, Pro, Enterprise) with usage-based limits

We may expand or modify our Service from time to time with new features, which will automatically be covered under these Terms without requiring a separate update to this document.

3. Account Registration & Eligibility

Wheeko is intended for use by businesses and registered entities only — not for personal consumer use. By creating an account, you confirm that:

  • You are at least 18 years old and eligible to enter into a legally binding contract
  • The business information you provide (company name, contact details) is accurate and up to date
  • You are responsible for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account

If we become aware that an account was created using fraudulent information, we may suspend or terminate that account.

4. Subscription Plans, Billing & Payment

Wheeko offers subscription-based plans (Starter, Pro, Enterprise), each with its own features and usage limits as described on our Pricing page. New accounts may be offered a trial period as specified at signup.

Subscription fees are charged in advance on a recurring basis (monthly or yearly, as selected). Subscriptions renew automatically unless cancelled. You may cancel your subscription at any time from your dashboard — cancellation takes effect at the end of the current billing period, with no partial-period refunds.

If a payment fails (e.g., a declined card), your account may be suspended immediately until valid payment is processed.

All fees are non-refundable, with no exceptions, except where required by applicable law.

5. Acceptable Use Policy

While using Wheeko, you agree not to:

  • Use the Service for any illegal, fraudulent, or harmful activity
  • Send unsolicited or spam messages without the recipient's consent
  • Violate Meta's WhatsApp Business Platform Policies or Commerce Policies
  • Attempt to reverse-engineer, hack, or gain unauthorized access to the Service
  • Infringe on any third party's intellectual property rights
  • Distribute malware or use the Service in a way that harms our systems or other users

Violation of this Policy may result in suspension or termination of your account without notice.

6. WhatsApp/Meta Platform Compliance

Wheeko operates through Meta's WhatsApp Business Platform, which is governed by Meta's own policies (WhatsApp Business Policy, Commerce Policy). You are responsible for independently reviewing and complying with these policies.

Wheeko does not control Meta's decisions, including number bans/restrictions, message template rejections, or account-level penalties. If your WhatsApp Business number is suspended or banned by Meta — whether due to a policy violation or any other reason — Wheeko is not responsible and will not provide any refund or compensation.

We follow best practices on our end, but final enforcement decisions rest solely with Meta.

7. Client Responsibilities

You (the client) are responsible for ensuring that:

  • You have valid consent and a legal basis to collect and message your end-customers' data via WhatsApp
  • You comply with applicable data protection and communication laws (e.g., anti-spam regulations, consumer protection laws) in your operating countries
  • The content you send to end-customers (messages, marketing templates) is accurate, non-misleading, and legal

Wheeko provides a technology platform only — we do not verify whether you have obtained end-customer consent. You bear full responsibility for any complaints, legal claims, or regulatory action arising from your end-customers, and you agree to indemnify Wheeko against any related claims or damages.

8. Intellectual Property

Wheeko's software, platform, branding, logos, and underlying technology are the intellectual property of CanZova Inc. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service — no ownership is transferred.

You retain ownership of your data (messages, contacts, business information). We use your data only to provide the Service, as described in our Privacy Policy — we do not claim ownership of your data.

You may not copy, modify, reverse-engineer, or resell any part of Wheeko without our explicit written permission.

9. Service Availability & Uptime

We work hard to keep Wheeko reliable and available, but we do not guarantee 100% uptime. The Service may occasionally experience downtime due to scheduled maintenance, updates, or unexpected technical issues.

We will make reasonable efforts to provide advance notice of planned maintenance where possible. We are not liable for losses resulting from downtime or service interruptions, including outages of third-party services (Meta, Twilio, OpenAI, hosting providers) that are beyond our control.

10. Limitation of Liability

To the fullest extent permitted by law, Wheeko (CanZova Inc.) shall not be liable for any indirect, incidental, consequential, or punitive damages — including lost profits, lost data, or business interruption — even if advised of the possibility of such damages.

If Wheeko's total liability is ever established, it shall be limited to the amount you paid to Wheeko in subscription fees during the preceding three (3) months.

The Service is provided on an "as is" and "as available" basis, without any warranty, express or implied, including warranties of merchantability or fitness for a particular purpose.

11. Termination

By You: You may cancel your subscription at any time from your dashboard, as described in Section 4.

By Wheeko: We may suspend or terminate any account, with or without notice, if:

  • You violate these Terms, including the Acceptable Use Policy
  • Payment fails and remains unresolved
  • Your activity poses a risk to Wheeko, other users, or Meta/third-party platforms
  • We decide, at our discretion, to discontinue the Service (in which case we will make reasonable efforts to provide notice)

Upon termination, your access ends immediately, and data retention/deletion will follow Section 5 of our Privacy Policy.

12. Third-Party Services Disclaimer

Wheeko relies on third-party services — including Meta's WhatsApp Business Platform, Twilio, OpenAI, and hosting/infrastructure providers — to deliver the Service. We do not control the availability, reliability, or performance of these third-party services.

If a third-party service experiences an outage, policy change, pricing change, or discontinuation that affects Wheeko's functionality, Wheeko is not liable for any resulting disruption. Where possible, we will make reasonable efforts to inform you and find alternative solutions.

13. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without reference to conflict-of-law principles.

Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Quebec, Canada.

14. Changes to These Terms

We may update these Terms from time to time. The updated version will take effect as soon as it is posted on our website, with the "last updated" date shown at the top of this page. We recommend reviewing these Terms periodically.
